CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT This Confidentiality and Non-Disclosure Agreement ("Agreement") is entered into as of the date of electronic signature below. The undersigned ("Recipient") acknowledges that Fairbrook Communities, LLC and its affiliates ("Disclosing Party") will provide access to certain confidential and proprietary information relating to the Flamingo Bay development project located in Moreno Valley, California (the "Property"), including but not limited to financial projections, architectural plans, engineering reports, entitlement documents, market analyses, and other materials contained in the virtual data room (collectively, "Confidential Information"). Recipient agrees to: 1. Hold all Confidential Information in strict confidence and not disclose it to any third party without the prior written consent of the Disclosing Party; 2. Use the Confidential Information solely for the purpose of evaluating a potential acquisition of or investment in the Property; 3. Not copy, reproduce, or distribute the Confidential Information except as reasonably necessary for the permitted purpose; 4. Return or destroy all Confidential Information upon request by the Disclosing Party or upon deciding not to pursue the transaction; 5. Acknowledge that breach of this Agreement may cause irreparable harm entitling the Disclosing Party to equitable relief in addition to any other remedies available at law. This Agreement shall remain in effect for a period of two (2) years from the date of execution. By signing below, Recipient confirms they have read, understood, and agree to be bound by the terms of this Agreement.
